Welcome to So Talented ("we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of our website https://hiresotalented.com/ and our remote talent acquisition and Employer of Record services (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service. These Terms constitute a legally binding agreement between you and So Talented.
2. DESCRIPTION OF SERVICE
So Talented provides:
• Remote talent sourcing, recruiting, and onboarding services
• Employer of Record (EOR) services acting as the legal employer for Remote Professionals in India
• Payroll processing, tax withholding, and statutory compliance management
• Benefits administration including health insurance, retirement plans, and wellness programs
• Infrastructure provision including office space, equipment, and technology support
• Ongoing support and management of Remote Professionals including performance tracking and issue resolution
• Compliance with all applicable labor laws and regulations in India
We act as the legal employer for Remote Professionals for tax, payroll, and compliance purposes. Remote Professionals remain on our payroll and are not considered employees of client companies.
3. ELIGIBILITY
To use our Service, you must:
• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Represent a legitimate business entity (for client services)
• Provide accurate and complete information during registration
• Comply with all applicable laws and regulations
• Not be prohibited from using our services under applicable law
We reserve the right to refuse service to anyone at our sole discretion.
4. USER ACCOUNTS AND REGISTRATION
When creating an account, you agree to:
• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Use only one account per individual or entity
You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from unauthorized use of your account.
5. CLIENT TERMS AND OBLIGATIONS
As a client using our services, you agree to:
**5.1 Service Relationship**
• Understand that Remote Professionals are employees of So Talented, not your employees
• Recognize that we act as the Employer of Record for all Remote Professionals
• Acknowledge that the relationship is that of independent contractors
• Provide clear work instructions and job descriptions for Remote Professionals
**5.2 Payment Terms**
• Pay fixed monthly fees per Remote Professional as outlined in your Master Service Agreement
• Make payments within 15 days of receiving invoices
• Pre-fund payroll, taxes, and benefits at least 5 business days before payroll date
• Accept invoices if no disputes are raised within 7 days of receipt
• Pay late payment penalties of 2% per month for overdue amounts
• Cover all legal and collection costs for payments overdue beyond 30 days
**5.3 Minimum Hire Period**
• Commit to a minimum hire period of 3 months for any Remote Professional
• Pay full fees for the remaining period if termination occurs before minimum hire completion
• Utilize our 30-day replacement guarantee for performance-related issues within the first 30 days
**5.4 Compliance and Conduct**
• Provide 30 days notice for any changes to Remote Professional status
• Treat all Remote Professionals ethically and professionally
• Comply with all applicable employment and anti-discrimination laws
• Maintain confidentiality of proprietary information
6. REMOTE PROFESSIONAL TERMS
As a Remote Professional using our platform, you agree to:
**6.1 Employment Relationship**
• Understand that So Talented is your legal employer for tax, payroll, and compliance purposes
• Comply with all applicable labor laws and regulations in India
• Participate in our benefits programs including health insurance and retirement plans
• Follow all statutory requirements and company policies
**6.2 Professional Conduct**
• Provide accurate and truthful information in your profile and documentation
• Maintain professional standards in all client interactions
• Respect confidentiality and intellectual property rights
• Perform work duties diligently and professionally
• Report any workplace issues or concerns promptly
**6.3 Infrastructure and Support**
• Utilize provided infrastructure including office space, equipment, and technology
• Participate in required training and development programs
• Comply with IT security measures and protocols
• Maintain professional workspace standards
7. PROHIBITED USES
You may not use our Service to:
• Violate any applicable laws, regulations, or third-party rights
• Engage in fraudulent, deceptive, or misleading activities
• Harass, abuse, or harm other users or Remote Professionals
• Attempt to directly solicit or hire our Remote Professionals outside our platform
• Circumvent our EOR services or payment processes
• Interfere with or disrupt our Service or systems
• Use automated tools to access or scrape our website
• Misrepresent your identity, qualifications, or business
• Engage in any form of discrimination or harassment
• Compete directly with our business using our platform
• Breach confidentiality or non-disclosure obligations
8. INTELLECTUAL PROPERTY RIGHTS
**8.1 Client Work Product**
All work product and deliverables created by Remote Professionals for clients are the client's sole property. Materials are considered "work made for hire" and become the exclusive property of the client upon creation and full payment.
**8.2 Our Intellectual Property**
All content, features, and functionality of our Service, including software, processes, and methodologies, are owned by So Talented and protected by intellectual property laws.
**8.3 User Content**
You retain ownership of content you submit to our platform. By submitting content, you grant us a license to use such content for service delivery purposes.
**8.4 Patent and Trademark Costs**
Clients bear all costs associated with patents, copyrights, or trademarks they choose to obtain to protect their intellectual property rights.
9. PRIVACY AND CONFIDENTIALITY
**9.1 Privacy Policy**
Your privacy is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to the collection and use of your information as described in our Privacy Policy.
**9.2 Confidential Information**
Both parties agree to maintain confidentiality of all proprietary, financial, and sensitive information shared during the use of our services. Confidential Information includes technical and business information, know-how, processes, records, client lists, financial data, and any information designated as confidential.
**9.3 Breach of Confidentiality**
Any breach of confidentiality obligations may result in immediate termination of services and legal action.
10. PAYMENT TERMS AND BILLING
**10.1 Fee Structure**
Monthly fees consist of:
• Remote Professional salary and statutory benefits
• Benefits and wellness program costs
• Infrastructure and equipment costs
• Service management fees
• Any other relevant expenses as agreed upon
**10.2 Billing and Payment**
• Invoices issued by the 5th of every month
• Payment due within 15 days of invoice receipt
• Pre-funding required 5 business days before payroll date
• Annual fee increases of 5% on anniversary date with 30 days notice
**10.3 Late Payment Penalties**
• 2% per month penalty on overdue amounts
• Service suspension rights for non-payment
• Legal and collection cost recovery for payments overdue beyond 30 days
• Termination rights for non-payment beyond 60 days
**10.4 Upfront Recruitment Fees**
Specialized positions may require upfront recruitment fees, which will be disclosed in advance.
11. SERVICE AVAILABILITY AND MODIFICATIONS
**11.1 Service Availability**
We strive to maintain high service availability but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, technical difficulties, or force majeure events.
**11.2 Service Modifications**
We reserve the right to modify, suspend, or discontinue any part of our Service with reasonable notice when possible.
**11.3 Replacement Guarantee**
We offer a 30-day replacement guarantee for Remote Professionals. If you are not satisfied with performance within the first 30 days, we will provide a one-time replacement at no additional cost. Subsequent replacements may incur additional charges.
12. WARRANTIES AND DISCLAIMERS
**12.1 Service Warranty**
We warrant that services will be performed by qualified Remote Professionals in a professional manner in accordance with generally accepted industry standards and practices.
**12.2 Disclaimer of Results**
We do not warrant the results or achievements of Remote Professionals or the resulting work product and deliverables.
**12.3 Service Disclaimer**
Except as expressly stated, our Service is provided "as is" without additional warranties. We disclaim warranties of merchantability, fitness for particular purpose, and non-infringement to the extent permitted by law.
13. LIMITATION OF LIABILITY
Neither party shall be liable for any indirect, incidental, or consequential damages arising from this agreement. Our aggregate liability shall not exceed the total fees paid over the preceding 6-month period immediately before the events giving rise to liability.
No action may be brought for any claim relating to our services more than one year after the accrual of such cause of action, except for money due on an open account.
Some jurisdictions do not allow certain limitations, so these may not apply to you.
14. INDEMNIFICATION
**14.1 Client Indemnification**
Clients agree to indemnify and hold So Talented harmless from claims, damages, or liabilities arising from:
• Client instructions or actions related to Remote Professionals
• Intellectual property disputes arising from work performed by Remote Professionals
• Any breach of the agreement by the client
**14.2 Mutual Indemnification**
Both parties agree to indemnify each other for breaches of confidentiality, intellectual property violations, and violations of applicable laws within their respective control.
15. NON-SOLICITATION AND NON-COMPETITION
**15.1 Non-Solicitation**
Clients may not directly or indirectly solicit, hire, recruit, or induce termination of any current, former, or prospective Remote Professional of So Talented during the agreement term and for 24 months following termination.
16. TERMINATION
**16.1 Termination by Users**
Either party may terminate services by providing 30 days written notice. Termination is effective upon expiration of the notice period unless otherwise agreed.
**16.2 Immediate Termination**
We may terminate services immediately for:
• Non-payment of fees for more than 30 days
• Breach of material terms
• Misuse or unethical treatment of Remote Professionals
• Violation of non-solicitation provisions
**16.3 Effect of Termination**
Upon termination:
• All outstanding invoices must be settled
• Equipment and property must be returned
• Accrued rights and obligations survive termination
• Non-solicitation obligations continue for specified periods
17. DISPUTE RESOLUTION
**17.1 Governing Law**
These Terms are governed by the laws of India.
**17.2 Mediation and Arbitration**
Disputes shall first be resolved through good faith mediation. If mediation fails, disputes shall be referred to arbitration conducted in English, with decisions being final and binding.
**17.3 Jurisdiction**
Either party may seek injunctive or equitable relief in courts of competent jurisdiction in Bangalore, India to enforce payment, confidentiality, intellectual property, or non-solicitation provisions.
**17.4 Informal Resolution**
Before formal proceedings, parties agree to attempt good faith resolution through direct negotiation.
18. FORCE MAJEURE
Neither party shall be liable for delay or failure in performance caused by events beyond reasonable control, including natural disasters, acts of war, terrorist actions, pandemics, or government-imposed restrictions.
The affected party shall notify the other party in writing within 7 days of the onset of such events. Obligations shall be suspended for the duration of the force majeure event.
19. GENERAL PROVISIONS
**19.1 Independent Contractors**
The relationship between parties is that of independent contractors. Nothing creates a partnership, joint venture, or employer-employee relationship.
**19.2 Entire Agreement**
These Terms, together with our Privacy Policy and Master Service Agreements, constitute the entire understanding and supersede all prior agreements.
**19.3 Amendments**
Amendments must be made in writing and signed by both parties, except for updates to these Terms which may be made with notice as described herein.
**19.4 Severability**
If any provision is invalid or unenforceable, remaining provisions remain in full force, and invalid provisions shall be replaced with enforceable provisions reflecting the original intent.
**19.5 Waiver**
Failure to enforce any provision does not constitute a waiver of that provision.
**19.6 Notices**
Notices shall be sent to registered addresses via email or courier.
